Seller (Consignment) Agreement

This Consignment Agreement (“Agreement”) is entered into between Tamek General Trading and Contracting Company W.L.L., operating under the brand Aspect (“Aspect”, “we”, “us”, “our”), and the individual or entity submitting an item for sale (“Consignor”, “you”, “your”).

By submitting or delivering an item for consignment, you agree to the following terms and conditions.

1. Consignment Overview

Aspect operates as an intermediary between sellers and buyers of pre-owned fashion items. By consigning an item, you authorize Aspect to list, market, and sell the item on your behalf under the conditions set forth below.

2. Ownership and Authenticity

You represent and warrant that:

  • You are the lawful owner of the item(s) submitted for consignment.

  • The item is authentic, accurately described, and free from any third-party claims.

  • You understand that Aspect currently does not provide authentication services. Responsibility for accuracy and authenticity remains with you as the seller.

If authenticity is disputed or found questionable, Aspect reserves the right to remove the item from sale without notice and return it at your expense.

3. Item Evaluation and Listing

Upon receiving your item, Aspect will:

  • Review it for quality, accuracy, and relevance to our platform.

  • Photograph and describe it professionally for online listing.

  • Set a recommended retail price based on market trends, item condition, and brand value.

Aspect reserves the right to refuse or remove items that do not meet its standards or brand alignment.

4. Pricing and Commission

Once the item is sold, Aspect will deduct a commission percentage from the final sale price before remitting your payout. The exact commission structure will be communicated and agreed upon prior to listing and may vary depending on brand, category, or item value.

You authorize Aspect to make reasonable price adjustments or promotional discounts (not exceeding 10%) to facilitate a sale, unless otherwise agreed in writing.

5. Payment and Payout

Payouts will be processed within 10–15 business days after the buyer confirms receipt and inspection of the item. Payments are made via the method you specify (bank transfer, payment link, or other approved method).

Aspect is not responsible for payment delays caused by incorrect banking details or third-party payment processors.

6. Duration of Consignment

The standard consignment period is 90 days from the date of listing.
After this period, you may choose to:

  • Continue consignment for another term, or

  • Request the return of your item.

If no response is received after the consignment period expires, Aspect may, at its discretion, extend the listing or contact you to arrange collection. Items left unclaimed after six months may be considered abandoned and donated or liquidated.

7. Relisting and Returns

If you purchase an item through Aspect and later wish to sell it again, you may request to relist it under the same terms. Relisting requests must be made within seven days of delivery and the item must remain in its original condition.

Aspect reserves the right to refuse relisting if the condition has changed or the item no longer fits current curation standards.

8. Loss or Damage

While in Aspect’s possession, items are handled with care. In the unlikely event of loss or damage due to our handling, Aspect’s liability shall not exceed the pre-agreed listing price or a mutually determined fair market value.

Aspect is not responsible for damage caused by courier services, third-party logistics, or normal wear associated with storage and handling.

9. Termination

Either party may terminate this Agreement at any time before the item is sold, provided written notice is given. Upon termination, you may request your item’s return at your own expense.

If a buyer has already confirmed purchase, the transaction cannot be reversed.

10. Taxes

You are responsible for reporting and paying any taxes applicable to your earnings from the sale of consigned items, in accordance with Kuwaiti tax regulations.

11. Limitation of Liability

Aspect acts solely as an intermediary and is not liable for indirect, incidental, or consequential losses related to the sale or non-sale of consigned items. By participating in this agreement, you acknowledge that Aspect’s role is to facilitate the sale on your behalf and not to guarantee it.

12. Governing Law

This Agreement is governed by the laws of the State of Kuwait. Any disputes arising from or related to this Agreement shall be resolved exclusively in the courts of Kuwait.

13. Entire Agreement

This document constitutes the entire agreement between Aspect (Tamek General Trading and Contracting Company W.L.L.) and the Consignor, superseding all prior discussions or agreements related to consignment activities.
